Direct Primary Care Membership Agreement

1. Introduction

This Direct Primary Care Membership Agreement (“Agreement”) is entered into by and between Fast Access Healthcare, PLLC (“Practice” or “FAH”), a Tennessee professional limited liability company, and the undersigned individual (“Member”). This Agreement is governed by Tennessee law.

2. NATURE OF AGREEMENT

This Agreement is a Direct Primary Care (DPC) agreement pursuant to Tennessee Code Annotated §56-50-101. This Agreement is not health insurance, is not a substitute for insurance, and does not satisfy any insurance coverage mandate.

3. ELIGIBILITY

Membership is available to adults and children five (5) years of age or older. All minors must be enrolled under a parent or legal guardian.

4. MEMBERSHIP TIERS AND FEES

Individual: $99/month Couple: $149/month Family: $199/month (up to 5 members) Additional members beyond five (5): $49/month each One-time enrollment fee: $145 (non-refundable)

5. MINIMUM COMMITMENT

Member agrees to a minimum commitment of three (3) months. Cancellation is not permitted during this period. Upon cancellation, re-enrollment requires payment of the enrollment fee.

6. INCLUDED SERVICES

Membership includes all services offered within FAH facilities as determined medically appropriate, including office visits, telehealth, preventive care, chronic disease management, procedures, and after-hours access to a live provider by phone.

7. EXCLUDED SERVICES

Excluded services include but are not limited to: DME braces, allergy testing, non-medically indicated infusions, BrainCheck testing, HealthTrax testing, ultrasounds, home health services, hospice services, pathology services, 4-Plex testing, and services provided by non-FAH facilities or physicians.

8. PAYMENT TERMS AND AUTO-DRAFT AUTHORIZATION

Monthly fees are due on the 1st of each month and are automatically drafted via credit/debit card or ACH. Convenience fees apply: 3% for card transactions and 1% for ACH transactions

9. FAILED PAYMENTS AND DELINQUENCY

10-day grace period applies. On day 11, a 25% late fee is assessed. On day 20, services are suspended. On day 30, membership is cancelled and re-enrollment requires payment of all balances plus the enrollment fee

10. REFUNDS

NO REFUNDS

All fees are non-refundable regardless of utilization or termination. 10. TERMINATION After the minimum commitment period, Member may cancel at any time by submitting the official disenrollment request through the FAH website. Practice may terminate for non-payment, policy violations, or clinical appropriateness.

11. EMERGENCY CARE

FAH does not provide emergency services. In emergencies, Member must call 911 or seek emergency care.

12. LIMITATION OF LIABILITY

No guarantees of outcomes are made. Services are rendered consistent with professional standards.

13. GOVERNING LAW AND VENUE

This Agreement is governed by Tennessee law with exclusive venue in Hamilton County, Tennessee.

14. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties.
